1. DEFINITIONS

THE COMPANY

SMALL BUSINESS SUBCONTRACTING PLAN

a. Small Business Concern

Reference: Small Business Act

A small business concern, including but not limited to enterprises that are engaged in the business of production of food and fiber, ranching and raising of livestock, aquaculture, and all other farming and agricultural related industries, shall be deemed to be one which is independently owned and operated and which is not dominant in its field of operation. In addition to the foregoing criteria, the Administrator, in making a detailed definition, may use these criteria, among others: Number of employees and dollar 'volume of business. Where the number of employees is used as one of the criteria in making such definition for any of the purposes of this Act, the maximum number of employees which a small business concern may have under the definition shall vary from industry to industry to the extent necessary to reflect differing characteristics of such industries and to take proper account of other relevant factors.

Specific determinations are made by obtaining a certification from the concerned business (Exhibit 1), referring to Defense Acquisition Regulations Small Business Administration (SBA), and any other applicable, available sources. Hereinafter, small business concerns shall be referred to as small businesses (SP).

Socially Disadvantaged Individuals

Socially disadvantaged individuals are those who have been subjected to racial or ethnic prejudice or cultural-bias because of their identity as a member of a group without regard to their zindividual qualities.

Economically Disadvantaged Individuals

Economically disadvantaged individuals are those socially disadvantaged individuals whose ability to compete in the free enterprise system has been impaired due to diminished capital and credit opportunities as compared to others in the same business area who are not socially disadvantaged.

Socially and Economically Disadvantaged Small Business Concern

Any small business concern:

(1) Which is at least 51 per centum owned by one or more socially and economically disadvantaged individuals; or, in the case of any publicly owned business, at least 51 per centum of the stock of which is owned by one or more socially and economically disadvantaged individuals; and

(2) Whose management and daily business operations are
controlled by one or more of such individuals.

It shall be presumed that socially and economically disadvantaged individuals include Black Americans, Hispanic Americans, Native Americans, and other minorities, or any other individual found to be disadvantaged by the Administration pursuant to section 8 (a) of the Small Business Act.

Contractors acting in good faith may rely on written representations by their subcontractors-regarding their status as either a small business-concern or a small business concern owned and controlled by socially and economically disadvantaged individuals.

Hereinafter,-socially and economically disadvantaged small business concerns shall be referred to as small disadvantaged businesses (SDB). When the term small business (SB) is used, it includes in its meaning SDB.

Subcontracts: Contracts, including purchase orders, for obtaining products and services from other vendors.

POLICY

Congress finds that:

(1)

The opportunity for full participation in our free enterprise system by socially and economically disadvantaged persons is essential if we are to obtain social and economic equality for such persons and improve the functioning of our national economy;

(2) Many such persons are socially disadvantaged because of their identification as members of certain groups that have suffered the effects of discriminatory practices or similar invidious circumstances over which they have no control;

(3) Such groups include, but are not limited to, Black Americans, Hispanic Americans, Native Americans, and other minorities;

-(4) It is in the mational interest to expeditiously ameliorate the conditions of socially and economically disadvantaged groups;

(5) Such-conditions can be improved by providing the maximum practicable opportunity for the development of small business concerns owned by members of socially and economically disadvantaged groups;

(6) Such development can be materially advanced through the procurement by the United States of articles, equipment, supplies, services, materials, and construction work from such concerns; and

(7) Such procurements also benefit the United States by encouraging the expansion of suppliers for such procurements, thereby encouraging competition among such suppliers and promoting economy in such procurements.

The Company

It is a continuing policy of the Company that technically qualified small and small disadvantaged businesses shall be given maximum opportunity to participate in subcontracting programs consistent with accepted principles of efficient management. In addition, the Company is in full policy agreement with the government's program to promote economic opportunity for concerns located in geographical areas of the United States which are experiencing labor surplus problems when such promotion is consistent with accepted principles of efficient management.

In order to lend support to this policy, Company subcontracting procedures and practices shall be in accordance with government regulations as presently defined in appropriate Defense Acquisition
